Biography

Mike Chitwood is a corporate attorney with a practice focused on public and private acquisitions and divestitures, cross-border transactions, private equity transactions, and corporate and securities law matters. He has represented acquirers and targets in a number of U.S. and cross-border mergers, acquisitions, takeovers, re-domiciliation transactions, joint ventures and leveraged buyouts.

Mike also regularly advises clients with respect to corporate governance and compliance matters, SEC reporting obligations, takeover preparedness and general corporate matters. He was named a “Dealmaker of the Week” in 2015 and 2014 by The American Lawyer for advising Endo International plc in its $8.1 billion acquisition of Par Pharmaceutical Holdings, Inc. and Becton, Dickinson and Company in its $12.2 billion acquisition of CareFusion Corporation.

Mike has represented a diverse range of clients in a broad range of industries, including:

* Endo International plc and its predecessor companies in numerous transactions, including in its:

* $1.6 billion acquisition of Paladin Labs through the formation of a new Irish holding company, Endo International plc;
* $2.9 billion acquisition of American Medical Systems;

* Pfizer in its proposed, but withdrawn, $115 billion acquisition of AstraZeneca through the formation of a new U.K. holding company;
* Medtronic in the $487 million sale of its Physio-Control division to affiliates of Bain Capital;
* Amerigroup Corporation in its $4.9 billion acquisition by WellPoint;
* News Corporation in:

* partnership with Permira Funds in their $3.7 billion going-private acquisition of NDS Group plc, as well as NDS Group Ltd. and its owners, Permira Funds and News Corporation, in the subsequent $5 billion sale of the company to Cisco Systems, Inc.;
* its $5.6 billion acquisition of Dow Jones, its $11 billion buyback of its stock from Liberty Media in exchange for cash and assets and its $11.5 billion proposed, but terminated, acquisition of the remaining public stake in British Sky Broadcasting Group;

* Dow Jones & Company in its $675 million financial index joint venture with CME Group;
* Epoch Holding Corporation in its acquisition by Toronto-Dominion Bank;
* Express Scripts, Inc. in its acquisition of the pharmacy benefit management business of Medical Services Company;
* Pacific Equity Partners Pty Limited in connection with its leveraged acquisition of an 82 percent stake in The American Stock Transfer & Trust Company for $1 billion;
* Permira Funds in its acquisition of Asia Broadcast Satellite;
* ALM Media Group and its principal owner, U.S. Equity Partners, in the sale of the company to Incisive Media;
* Babcock & Brown Limited,in the $766 million acquisition of BNP Residential Properties, Inc.; and
* Apax Partners in its $1.6 billion leveraged buyout of Tommy Hilfiger.
