Biography

Cathy Birkeland is a member of the Corporate Department and the firm's Diversity Leadership Committee, and served as the Deputy Office Managing Partner of the Chicago office from October 2009 to February 2015. Ms. Birkeland’s practice primarily focuses on:

Capital markets
Mergers and acquisitions
Corporate governance matters
Public company representation

Ms. Birkeland has represented a number of issuers in public offerings and private placements and a number of investment banks in their capacity as underwriters. Ms. Birkeland has additionally represented multiple buyers and sellers in mergers and acquisitions. She also advises public companies on a day-to-day basis, including assisting them in the preparation and filing of ’34 Act reports and advising them on corporate governance and securities law issues. Likewise, Ms. Birkeland also represents a number of privately held companies in corporate matters.

Ms. Birkeland serves on the Heart Leadership Council of the Ann and Robert H. Lurie Children’s Hospital of Chicago and on the Chicago Board of Camp Kesem.

InvenTrust Properties Corp. in the spin-off and listing of InvenTrust Properties' premium lodging business, Xenia Hotels & Resorts, Inc., the US$1.1 billion sale of InvenTrust Properties' select service hotel portfolio and the US$1.9 billion sale of InvenTrust Properties' core triple net lease assets to AR Capital. Ms. Birkeland also routinely advises InvenTrust Properties and its Board of Directors in corporate governance and securities law matters.
Independent Directors of the Board of Directors of CNL Lifestyle Properties, Inc. in connection with the company's review of potential strategic transactions (pending).
Credit Suisse and Barclays, as joint book-runners, in connection with Performance Food Group Company's initial public offering (pending).
Goldman, Sachs & Co., JP Morgan, BofA Merrill Lynch and Deutsche Bank Securities, as joint book-runners, in connection with TransUnion’s initial public offering.
JP Morgan and Morgan Stanley, as joint book-runners, in connection with LaQuinta Holdings Inc.'s initial public offering and subsequent follow-on offerings of common stock by Blackstone.
Goldman, Sachs & Co. and JP Morgan, as joint book-runners, in connection with SeaWorld Entertainment, Inc.'s initial public offering and subsequent follow-on offerings of common stock by Blackstone.
Hyatt Public Hotels Corporation in a US$400 million repurchase of Hyatt stock from trusts for the benefit of certain Pritzker family members and Pritzker family business interests in the distribution of US$4 billion of Hyatt stock from Pritzker family trusts to personal trusts for the benefit of Pritzker family members. Ms. Birkeland represented Hyatt in its US$1.1 billion initial public offering, the second largest initial public offering by a US issuer in 2009 by proceeds. Additionally, Ms. Birkeland routinely advises Hyatt and its Board of Directors on ’34 Act, securities law and corporate governance related matters.
TransUnion Corp. in its "dual track" IPO/M&A process and corporate governance matters. Ms. Birkeland also represented TransUnion Corp. in a consent solicitation of holders of its senior notes. Ms. Birkeland also worked on the sale of a 51 percent interest in TransUnion Corp. to Madison Dearborn Partners on behalf of the company and Pritzker Family Business Interests in 2010. In addition, Ms. Birkeland represented TransUnion Corp. in stock repurchase transactions totaling US$1.3 billion from its stockholders.
Triton Container International Limited (TCIL) and Pritzker Family Business Interests in the sale of an 80 percent interest in TCIL to Warburg Pincus and Vestar Capital Partners.
Pritzker Family Business Interests in the restructuring of family-owned assets.
Triton Aviation Finance in connection with a consent solicitation of its bondholders.
Xenia Hotels & Resorts, Inc. and its Board of Directors in securities law and corporate governance matters.
Walgreen Co. in corporate governance matters.
Virgin Media Inc. and its Board of Directors in corporate governance matters.
