Corporate and Securities:
David Berg's practice focuses on corporate and financial transactions, particularly mergers, acquisitions, divestitures, venture capital, private equity investments, joint ventures and acquisition and other financing transactions.

Mr. Berg has significant experience in the area of domestic and cross-border transactions, and in distressed and special situation investments. He is also skilled in structuring transactions, negotiating and drafting agreements, and supervising deal teams. Mr. Berg has considerable experience in a wide variety of industries, including investment management, consumer finance, leasing, specialty finance, forest and paper products, media and telecommunications and aviation. He has represented sellers as well as buyers.

Mr. Berg graduated magna cum laude from New York University School of Law, where he was Chairperson of the Moot Court Board, and received his AB from Brown University. From 1992 to 1993, he served as law clerk to the Honorable Naomi Reice Buchwald of the United States District Court for the Southern District of New York.

Mergers and Acquisitions/Investments:

Represented York Capital in its investments in East West Bank (in connection with East West Bank’s acquisition of failed United Commercial Bank) and United Community Banks.
Represented York Capital in matters related to its investment in Arch Bay Capital, a residential mortgage servicer.
Represented York Special Opportunities Fund in its acquisition of a controlling interest in Novation Partners and ScanTech Identification Beam Systems.
Represented Asahi Kasei Pharma in its acquisition of Artisan Pharma.
Represented Aurora Bank in its sale of its residential mortgage servicing business and in its sales of its residential mortgage portfolio.
Represented Goldman Sachs in numerous principal investments, including as buyer and seller of portfolios of subprime automobile loans, as buyer of a portfolio of small balance commercial loans, as co-venturer in its aircraft leasing joint venture with Volito Aviation AB, in its investment in a real estate and retail appraisal and liquidation firm, in its acquisition of CIT Group's micro-ticket leasing business, in its acquisition, and subsequent disposition, of Transamerica Corporation's European trailer leasing business, in its investment in a special residential mortgage servicing company, and several other minority and control investments.
Represented The Halifax Group in its leveraged acquisition of Animal Supply Company.
Represented Kilowatt Financial in its $40 million Series A funding from Kleiner Perkins Caufield & Byers.
Represented one of the largest life insurers in the U.S. in a joint venture with a leading private equity firm to originate commercial real estate mortgage loans for sale in the capital markets.
Represented Catalyst Investment Management in its combination with Visium Asset Management.
Represented Stora Enso Oyj, the world's largest paper company, in its US$2.5 billion sale of Stora Enso North America to NewPage Corporation.
Represented Credit Agricole Structured Asset Management in its acquisition of Ursa Capital LLC, a sponsor of funds of hedge funds and managed accounts, and Credit Agricole Indosuez (now Calyon) in its sale of a hedge fund business to Neuberger Berman.
Represented buyers and sellers in numerous loan portfolio sales.
Financing Transactions Experience:

Represented Goldman Sachs as agent in senior secured credit facilities to On Deck Capital, Veritas Financial, an affiliate of Consumer Portfolio Services to finance the acquisition of a portfolio of subprime auto loans from Fireside Bank, an equipment leasing company, a catalog retailer (to finance credit card receivables), a commercial real estate investor and a consumer finance business (to finance credit card receivables), as agent in a debtor-in-possession financing to a healthcare finance company and in numerous other secured financings.
Represented Goldman Sachs, as lead agent, in the financing for Rockbridge Growth Equity’s acquisition of Purchasing Power, LLC.
Represented Haggar Clothing in the refinancing of its revolving credit facility.
Represented Hellman & Friedman in the financing for its acquisition of Delaware International Advisors.
Represented a New York-based hedge fund in a multitranched credit facility for a "super-ISO" in the credit card processing business.
