Expertise

Fintan specialises in tax. He advises companies on tax planning, including the tax aspects of acquisitions, disposals, reorganisations, migrations, securitisations and financings. He also advises multinationals, investment funds, banks and insurance companies in relation to insurance, financial and structured products. Previously Fintan worked in the tax groups in Skadden Arps and Herbert Smith.
Experience

A selection of recent deals that Fintan has advised on include:

Advising Cooper Industries plc in relation its acquisition by Eaton Corporation for $11.8 billion
Advising Ingersoll-Rand in relation to the announced spin-off of its security business and $2 billion share buyback
Advising Covidien in relation to the announced spin off of its pharmaceuticals business into a standalone public company
Advising Alkermes Inc on the merger with the drug delivery business of Elan plc resulting in a new NASDAQ listed holding company for the new group
Advising JP Morgan as underwriter of an exchangeable bond issued by an Irish subsidiary of Amarin Corporation plc, an Irish tax resident UK incorporated company
Advising Seagate in relation to the acquisition of the hard drives operations of Samsung
Advising Blackstone's GSO Capital Partners in relation to its acquisition of Harbourmaster Capital
Advising a number of clients on moving intellectual property to Ireland to be exploited and developed in Ireland
Advising the majority of US listed companies on their migrations to Ireland which all involved a scheme of arrangement to insert a new Irish incorporated and resident NYSE-listed holding company including: Covidien, Ingersoll-Rand, Accenture, Cooper Industries, Willis Group, Global Indemnity and Seagate
Advising Pfizer in relation to restructuring matters
Advising SAP in relation to its Irish treasury operations and funding matters
