Biography

Lee Barkan is a senior counsel in the Health Care Department. His practice focuses on corporate counseling a wide range of health care industry clients, including hospitals, academic medical centers, long-term care providers, physicians and physician practices.

He advises clients in health care transactions, including mergers, acquisitions, joint ventures, leasing arrangements, licensing arrangements, and equity and debt financings.

Recent representations include:

*Northern Westchester Hospital Association, in the structuring and closing of a transaction pursuant to which it became a part of the North Short-Long Island Jewish Health Care System

Lee's path to Proskauer reflects a blend of diverse experiences. After beginning his legal career as a litigator in New York, Lee started his own general practice law firm in New Jersey, where he developed his talents as a corporate generalist, servicing the legal needs of both large and small companies, as well as individuals. Lee then moved in-house as general counsel for a publicly traded health care-related company, where he was able to further refine his skills in matters related to mergers and acquisitions, licensing, real estate, employment, trademarks and securities.

Lee offers a distinctive perspective from his experience as both in-house counsel and client. His focus always has been on developing practical and creative solutions to often complex problems in the most cost-efficient manner possible.

*Federation Employment and Guidance Service, Inc., in structuring and closing its merger with the New York Society for the Deaf, both not-for-profit corporations • New York University Hospital in the development of an administrative services agreement with Salick Health Care to assist in the creation and operation of NYU’s cancer center

*Beth Israel Medical Center, in the development of an administrative services agreement with Aptium W. New York, Inc. to acquire, and receive administrative assistance in connection with the operation of, a cancer center

*Renal Research Institute, LLC, in connection with joint ventures with the University of Michigan and the University of North Carolina to jointly own and operate dialysis facilities

*Island Rehabilitative Services Corp., in connection with the formation of ventures with hospitals and physicians to jointly own and operate dialysis facilities

*Richmond University Medical Center, in connection with a term loan in the amount of $15 million and a revolving line of credit in the amount of $25 million extended by CIT Healthcare LLC, related to its acquisition and operation of its acute care hospital

*Caritas Health Care, Inc., in a debtor-in-possession financing in the aggregate principal amount in excess of $16 million provided by the Dormitory Authority of the State of New York and affiliates of Healthcare Finance Group, Inc., related to borrower’s two acute care hospitals in Chapter 11 bankruptcy

*Richmond University Medical Center, in a $35 million senior secured revolving and term loan facility provided by Healthcare Finance Group, LLC
