Biography

Mr. Faris is local Chair of the Litigation Department. He has extensive experience in complex litigation matters, with a focus on securities and professional liability litigation. He has experience in all aspects of complex cases, including fact and expert discovery, complex motions practice and trial. Mr. Faris has argued significant motions to dismiss and for summary judgment in federal court, has conducted direct and cross examinations in large jury trials, and has conducted solo bench trials and arbitrations in smaller matters.

Mr. Faris has represented clients in securities actions, derivative suits, proxy contests, individual securities actions under both federal and state securities laws, and complex matters involving alleged director and shareholder fiduciary duty violations. He appears in both federal and state courts around the country. In addition, he has been involved in internal investigations of potential criminal conduct and represented companies under investigation by the United States Securities Exchange Commission and/or the Department of Justice. He has also had oversight responsibility for extensive electronic document collection efforts in response to federal law enforcement subpoenas.

In addition to his securities and professional liability practice, Mr. Faris has experience in complex commercial litigation in the areas of antitrust, trademark and patent infringement, and insurance litigation.

Mr. Faris is a national board of directors member for the American Constitution Society and is admitted to the United States District Courts for the Northern District of Illinois, Eastern District of Michigan, Western District of Wisconsin and the Federal Circuit, and has appeared in courts in Illinois, Washington, Oregon, Arizona, Wisconsin, Michigan, Delaware and New York.

Mr. Faris' experience includes representation of:

A public company in 11 consolidated class actions, two state court derivative actions and one federal court derivative action alleging violations of the federal securities laws and fiduciary duties violations
A Chicago-based company in a private securities suit under the Oregon blue sky statute in the District of Oregon, including successfully briefing and arguing a motion to dismiss disposing of two of four counts against Latham's client
A client in proceedings before the Panel on Multidistrict Litigation to consolidate securities claims in various states into a single forum
A large venture capital fund client in litigation in the District of Arizona by former management of a failed portfolio company alleging various contractual and fiduciary duty claims against the venture capitalist majority shareholder and its director designees, including oral argument on the client's motion for partial summary judgment
A large national accounting firm in securities class action litigation in the Eastern District of Michigan
The audit committee of a Kansas City-based client in an internal investigation into an anonymous letter alleging misconduct by the CEO and other top-level management
The audit committee of a Nashville-based client in an internal investigation into an anonymous letter alleging criminal misconduct in applications for federal program money
