Ron Gross has substantial experience in a wide array of financing transactions, including complex structured financings, asset securitizations, secured loan facilities, secured commodity hedges, and other secured transactions involving many classes of assets. He has represented institutional lenders, bond insurers, issuers, borrowers, and other capital users in a variety of industries. In particular, Ron has experience in the securitization of intellectual property assets and transactions in the energy industry.

Ron's representative transactions include advising a multinational company in a $1.5 billion repo financing of structured preferred shares of a special purpose subsidiary, representing Church's Chicken in a whole-business securitization transaction in the franchised restaurant sector, representing FTI Consulting in connection with a $250 million senior secured revolving credit facility, representing The Timken Company in a trade receivables securitization, and advising a multinational financial institution as the liquidity provider in connection with the issuance by certain mutual funds of variable rate demand preferred shares to refinance outstanding auction rate preferred securities. In the energy area, Ron has represented project companies and financial institutions in connection with intercreditor issues in secured commodity hedge transactions.

Additional companies for which Ron has worked on substantial matters include Agilent Technologies, Citibank, Invenergy, and Morgan Stanley.

Ron is an active member of the American Bar Association. He is on the Law Firm Advisory Board of the Working Group on Legal Opinions and was a past co-editor of the Annual Survey of the Uniform Commercial Code and co-chair of the Business Law Education Committee.
