Biography

THOMAS ALBRECHT is the managing partner for the Asia Pacific Region and is based in Sidley’s Hong Kong office. Tom is a member of the firm’s Management and Executive Committees and is co-leader of the Global Finance practice. Tom’s practice includes the representation of multinational corporations, investment banks, commercial banks, investment funds, insurance companies and other participants in the financial services industry in a wide variety of corporate and financing transactions including secured financings, structured finance transactions, alternative risk financing mechanisms, corporate restructurings and workouts, with a particular focus on cross-border transactions. Examples of Tom’s significant experience include:

* Representation of LDK Solar Co., Ltd. in its restructuring of more than US$700 million in offshore claims. This restructuring, which was approved by courts in the Cayman Islands, Hong Kong and the U.S., is believed to be the first judicially approved, multi-jurisdictional debt restructuring of its kind for a China-based enterprise.
* Representation of an investor syndicate in connection with a multi-billion dollar, intellectual property based, whole-business securitization of an information services company.
* Representation of insurance companies in connection with the first cross-border securitization of Japan-originated consumer loan receivables.
* Representation of structuring agents in connection with the first multi-issuance program for securitizing structured settlement receivables.
* Representation of investor group in connection with one of the first successful workouts of a life contingent revenue stream securitization.
* Representation of investor groups, issuers or enhancement providers in connection with workout and restructuring transactions involving a China-based metals manufacturer, a 144A healthcare receivables-backed securitization transaction and two securitization transactions supported by rental car receipts originated by several multinational rental car companies.
* Representation of several insurance companies in connection with a variety of cross-border securitization transactions including the creation and administration of several medium term note conduit vehicles.

Tom has been recognized as a leading lawyer by several publications, including Chambers Global, Chambers Asia Pacific, IFLR1000, Who’s Who Legal, PLC Which Lawyer and The Best Lawyers in America. Chambers USA recently described Tom as “a fantastic lawyer who immediately thinks about how new developments will affect clients”.

Tom was based in the U.S. for most of his 30+ year career, but has been involved in cross-border financing and other international corporate transactions for over 25 years, beginning in 1986 when he represented a major Japanese automobile manufacturer in establishing its U.S. based financing subsidiary. That finance subsidiary utilized structuring methodology that enabled it to access funding from diversified sources through the international securitization market. A few years later, he represented several large financial institutions when they established their commercial paper conduit supported businesses in Europe. In the 1990s, he worked extensively on several Japan-originated transactions as noted above, as well as on a Southeast Asia-based monoline insurance program. More recently, Tom has also been involved in several debt and corporate workouts and restructurings, corporate inbound (into Asia) investment transactions including the use of bilateral investment treaty structures, advice on outbound (to the U.S.) investments and operations, the use of ring-fencing techniques in connection with global corporate structures, the restructuring of joint ventures and distressed asset purchases and structuring catastrophe risk transfers.

Because of his broad leveraged finance and structured finance background, Tom has assisted clients in multiple industry sectors, such as real estate, telecommunications, financial institutions, technology, transportation, metals, consumer products, and oil and gas, involving a wide variety of underlying assets including credit cards, consumer loan contracts, automobile loans, motor vehicle leases, wholesale and dealer inventory loans, equipment leases, collateralized loan transactions, collateralized bond obligations, catastrophe bond transactions, future flows, life contingent contractual cash flows and royalty payment streams.
