Biography

Yuval Tal is the head of our Hong Kong and Beijing offices and a partner in our Corporate Department. He is a general corporate and securities lawyer with diverse experience in cross-border mergers & acquisitions, securities offerings and corporate and real estate finance.

Yuval's practice includes representing clients on financing, mergers & acquisitions (public and private, debt and equity), reorganizations, going-private transactions and structured finance, often including cross border elements. He represents clients from their formation through their sale or public offering. He also advises his clients on day-to-day operational matters, including internal structuring, commercial transactions, employment, consulting arrangements and equity incentive programs. Yuval has worked in industries as varied as real estate, telecommunications, flight training, medical devices, fitness and entertainment. He handles many matters that are unique and the first of their kind, such as Accor’s strategic long-term alliance with Huazhu Hotels Group, the "Swissification" of Card Guard as it converted from an Israeli to a Swiss corporation or the public offering of a Delaware company on the Tel-Aviv Stock Exchange.

Chambers Asia Pacific 2017 recognises him, noting that he is an "excellent lawyer who had a very good grasp of commercial issues and a sharp legal mind." In Legal 500 Asia Pacific 2016, clients describe Yuval as ‘commercially savvy” and “efficient”.

Yuval’s clients include JPMorgan, Jefferies, Credit-Suisse, RRJ Capital, Bessemer Venture Partners, One Equity Partners, PAG, Starwood Capital, Colony Capital, DLJ, Thor Urban Retail Fund, Big Flower, Star Ventures, Formula Ventures and Giza Venture Capital in structuring, restructuring, managing and disposing of investments in Asia, Europe and the United States.

As a member of the Private Equity Real Estate and Lodging & Gaming Groups, Yuval has worked on transactions involving mixed-use development and construction, acquisition and sale, restructuring and public offerings of real estate, hotel and casino companies. His real estate and hospitality work has included transactions for properties from China to Israel to the United States. He has many years of experience with hotel licensing, franchising and management. He has worked on projects involving Accor, Caesar’s/Harrah’s, Colony Capital, Garret Group, Hilton, Hyatt, Inter-Continental, Raffles, Starwood Capital, Starwood Hotels & Resorts, Swissotel, Wyndham and many others. Yuval has worked on single and multi-property transactions, as well as sales of chains and brands and regularly represents both owners and managers.

Yuval is on the Steering Committee of the Hospitality Development Council of Urban Land Institute (ULI). He is also a regular speaker at real estate and hospitality related conferences such as the Hotel Investment Conference Asia-Pacific in Hong Kong.

*Accor's $1.3 billion sale of Red Roof Inn and $625 million sale-and-management-back transaction for eight U.S. Sofitels between Accor and a joint venture between Gem Realty Capital and Whitehall

*Crowne Plaza Times Square’s sale-and-management-back transaction

*The Setai’s $300 million plus development in New York

*The development of a major mixed-use property in Israel

Prior to rejoining Proskauer in 1999, Yuval practiced law in Israel, representing Israeli clients in transactions in Europe and the United States and European and U.S.-based clients in transactions in Israel. He handled transactions for major publicly traded Israeli companies such as Clal (Israel) Ltd., LifeWatch, Kitan Consolidated Ltd., Orckit Communications Ltd., ECI Telecom Ltd., Scitex Corporation Ltd. and Tecnomatix Technologies Ltd. Since joining Proskauer, Yuval has continued to represent Israeli clients on a wide range of corporate and securities matters.

The U.S. News & World Report ranks it fourth among U.S. law schools, and it is noted particularly for its influence on the economic analysis of law.

The Faculty of Law of the Hebrew University of Jerusalem is the oldest law school in Israel. Established in 1949, the Faculty is the alma mater of almost all the Justices on the Supreme Court of Israel, and among its alumni are many of Israel's most prominent legal academics, Attorneys-General, senior government officials and representatives and practicing lawyers. Initially housed in the buildings of the Ratisbonne Monasteryin the center of Jerusalem, the Law Faculty was one of the first academic units to be relocated after the Six Day War in the historic buildings of the Hebrew University campus on MountScopus. This complex, including the original building of Israel's National Library has served as the home of the Faculty ever since. The Faculty's Bernard G. Segal Law Library is the largest law library in Israel containing some 300,000 volumes (80,000 titles) and holds several unique collections of Jewish, Israeli, Roman law and the philosophy of law. Today, the Faculty is composed of 40 full-time professors, 150 adjunct professors and over 50 instructors. The Faculty also welcomes a significant number of Visiting Professors and scholars from abroad who spend time at the HebrewUniversity teaching and carrying out research. The result is a dynamic curriculum spanning all the major areas of law, offering our students a broad variety of law-related and interdisciplinary subjects. The Faculty admits some 250 LL.B. students each year (for a four year program) and 100 students studying towards the LL.M. degree. In addition to these, about 60 graduate students are working on Ph.D. degrees under the supervision of Faculty members and over 200 students are working towards M.A. and Ph.D. degrees in the Institute of Criminology. The Faculty encourages its students to broaden their formal legal education by taking joint degrees, interdisciplinary courses and practical courses in clinics offering services to disadvantaged communities in Jerusalem. In addition we encourage our students to conduct part of their legal education abroad and have numerous programs for international collaboration and student-exchanges with law schools around the globe. The Faculty of Law strives for excellence in research at an international level. Many of our Faculty members have advanced degrees from leading foreign Universities and all spend time teaching or conducting research abroad. Research at the HebrewUniversity has a theoretical and interdisciplinary focus, and scholarly work produced by our Faculty figures prominently in leading legal journals and publishing houses. Members of the Faculty are actively involved broader university interdisciplinary centers such as the Center for the Study of Rationality and the European Forum. The Faculty itself has also established a variety of legal and interdisciplinary research forums: the Forum for Law and Economics, the Forum for Law and Philosophy, the International Law Forum, the Institute for Jewish Law, the Minerva Center for Human Rights and the Intellectual Property Law Forum. The Faculty of Law is also the home of the HebrewUniversity’s Institute of Criminology and the fruitful collaboration of lawyers and criminologists is reflected, among other things, in the Jerusalem Criminal Justice Study Group (CrimeGroup). The Harry and Michael Sacher Institute for Legislative Research and Comparative Law provides research grants and fellowships for research students and serves as the leading legal publishing house in Israel. The Institute also supports the two law reviews published by the Faculty: Mishpatim, a student-edited law journal in Hebrew, and the Israel Law Review, edited by members of Faculty and published in English.

The Supreme Court of Israel (Hebrew: ??? ????? ???????, Beit HaMishpat HaElyon, Arabic: ??????? ???????, Al-Mahkamah al-‘Ulya) is the highest court in Israel. It has ultimate appellate jurisdiction over all other courts and, in some cases, original jurisdiction. The Supreme Court consists of 15 justices who are appointed by the Judicial Selection Committee. Once appointed, justices have life tenure unless they resign, retire at the age of 70, or are removed from office. The current President of the Supreme Court is Asher Dan Grunis, and its Deputy President is Miriam Naor. The Supreme Court is situated in Jerusalem. Its jurisdiction applies to all of Israel and the Israeli-occupied territories.
